3. Client Responsibilities

To ensure the successful delivery of our services, clients agree to:

• Provide accurate, complete, and timely information required for project completion
• Supply all necessary materials (logos, images, content, credentials, etc.) within agreed timeframes
• Review and provide feedback on deliverables within the agreed review period
• Designate a point of contact authorized to make decisions on behalf of the client
• Ensure that any materials provided to Indus Core Tech do not infringe on third-party intellectual property rights

Delays caused by the client's failure to fulfill these responsibilities may result in revised timelines and additional charges.

4. Payments & Fees

4.1 Pricing

All pricing is agreed upon in writing prior to the start of any project. Prices are subject to change for future engagements with advance notice.

4.2 Payment Terms

Unless otherwise agreed in writing, the following payment structure applies:

• A deposit (typically 50%) is required before work begins
• The remaining balance is due upon project completion and prior to final file delivery or website launch
• Ongoing service retainers are billed monthly in advance

4.3 Late Payments

Payments not received by the due date may result in a suspension of services. Indus Core Tech reserves the right to charge a late fee on overdue balances and to withhold delivery of final files or project access until full payment is received.

4.4 Refunds

Deposits are non-refundable once work has commenced. Refunds for completed work are not provided. If a project is cancelled by the client after work has begun, payment is due for all work completed up to the point of cancellation. Refund eligibility for any other circumstances will be evaluated on a case-by-case basis at our sole discretion.

5. Intellectual Property

5.1 Client-Owned Materials

All materials, content, and data provided by the client remain the intellectual property of the client. By providing these materials, the client grants Indus Core Tech a limited license to use them solely for the purpose of delivering the agreed services.

5.2 Deliverables

Upon receipt of full payment, Indus Core Tech transfers ownership of final deliverables (such as website files, logos, and designs) to the client, unless otherwise specified in a separate agreement.

5.3 Indus Core Tech Property

All proprietary tools, frameworks, templates, code libraries, methodologies, and processes developed or used by Indus Core Tech remain our exclusive intellectual property. Transferring ownership of a deliverable does not grant the client a license to our underlying tools or frameworks.

5.4 Portfolio Rights

Indus Core Tech reserves the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the course of the engagement. Indus Core Tech will not disclose your business information, data, or project details to third parties without your consent, except as required by law or necessary to deliver the agreed services (e.g., sharing with authorized subcontractors under confidentiality obligations).

7. Third-Party Services

Some of our services may involve the use of third-party platforms, tools, or integrations (e.g., Shopify, WordPress, Google Ads, Amazon, Meta). By using our services, you acknowledge that:

• Third-party platforms have their own Terms of Service which you are responsible for complying with
• Indus Core Tech is not liable for any changes, outages, fees, or policy updates made by third-party providers
• Performance results (e.g., ad spend, ranking improvements) may be influenced by third-party platform algorithms beyond our control

8. No Guarantee of Results

While Indus Core Tech employs best practices and industry-proven strategies, we do not guarantee specific outcomes such as a particular search engine ranking, revenue increase, return on ad spend, or number of sales. Digital marketing and SEO results depend on many external factors outside our control, including search engine algorithm changes, market competition, and client-side execution.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Indus Core Tech shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages arising from your use of our services
• Loss of data, revenue, profits, or business opportunities
• Downtime, errors, or failures caused by third-party hosting providers or platforms
• Results or outcomes of marketing campaigns, SEO efforts, or advertising spend

Our total liability to you for any claim arising from the services shall not exceed the total amount paid by you to Indus Core Tech in the three (3) months preceding the claim.

10. Prohibited Use

You agree not to use our website or services to:

• Violate any applicable local, state, national, or international law or regulation
• Transmit any unlawful, harmful, threatening, defamatory, or fraudulent content
• Infringe upon the intellectual property rights of any third party
• Attempt to gain unauthorized access to our systems or client data

• Reverse engineer, copy, or replicate any proprietary tools or systems developed by Indus Core Tech

We reserve the right to terminate service immediately and without refund if any prohibited use is discovered.

12. Termination of Services

Either party may terminate a service engagement with written notice, subject to the following:

• All work completed up to the termination date must be compensated by the client
• Any outstanding invoices become immediately due upon termination
• Indus Core Tech reserves the right to immediately terminate services without notice in cases of non-payment, abusive conduct, or breach of these Terms
• Upon termination, Indus Core Tech will provide the client with all completed deliverables for which full payment has been received

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in Connecticut, in accordance with applicable arbitration rules. Both parties waive the right to a jury trial or class action.

14. Indemnification

You agree to indemnify, defend, and hold harmless Indus Core Tech, its officers, employees, and contractors from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with your use of our services, your violation of these Terms, or your infringement of any third-party rights.

15. Entire Agreement

These Terms, together with any signed project proposals or service agreements, constitute the entire agreement between you and Indus Core Tech regarding the use of our services and supersede all prior communications, understandings, or agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
